These Terms of Service ("Terms") form a binding legal agreement between you ("you," "your," or "Customer") and Online Services Internet Development & Marketing, operating the DokuDocs service ("DokuDocs," "Company," "we," "us," or "our"). By creating an account, accessing, or using DokuDocs, you agree to be bound by these Terms in full. If you do not agree, you may not use the Service.
DokuDocs is a storage and notification tool, not a law firm, fiduciary, or guarantee of any outcome. You are responsible for keeping your recipient list, contact information, and login credentials accurate and secure. We do our best to verify your status and deliver documents to the right people at the right time, but we cannot promise it will always work perfectly — technology, email delivery, and human responsiveness all have limits. Please read the full Terms below, especially Sections 8 through 11, which describe what happens if something goes wrong.
DokuDocs is a cloud-based document storage and conditional-release platform that allows a Customer to upload estate planning, emergency-access, financial, property, and medical documents, designate one or more Recipients, and configure conditions under which those Recipients may be notified and granted access to the stored documents. DokuDocs may use third-party status verification services ("Verification Services") to help determine whether a triggering event (such as incapacity or death) may have occurred.
DokuDocs is a notification and storage tool. It is not a will, trust, power of attorney, or other legal instrument, and using DokuDocs does not create, modify, revoke, or otherwise affect the legal validity of any document stored on the platform.
You must be at least 18 years old and capable of forming a binding contract to create a DokuDocs account. By registering, you represent that:

Important: DokuDocs cannot notify a Recipient it does not have correct, current contact information for, and cannot guarantee that a notified Recipient will see, open, or act on a notification email or letter. You are responsible for keeping this information current.
DokuDocs offers an optional automated status-verification feature that periodically checks for indicators of incapacity or death and, upon detecting a qualifying status change, begins the notification and access-delay process you configured. This feature relies in part on third-party data and services outside our direct control, periodic check-ins, and the passage of time.
You acknowledge and agree that this feature is provided on a best-effort basis and is not a guarantee that a status change will be detected accurately, promptly, or at all. False positives (incorrectly determining a status change occurred) and false negatives (failing to detect an actual status change) are both possible. DokuDocs is not liable for any consequence arising from an inaccurate, delayed, or missed status determination, except where such liability cannot be excluded under applicable law.
You determine who your Recipients are, what category of documents each Recipient may access, and how long after a triggering event access is delayed. Once the conditions you configured are met, DokuDocs will release access to the relevant documents to the Recipient(s) you designated, using the access token and delay period you set. You, not DokuDocs, are responsible for deciding who should receive access and to what documents. DokuDocs acts only according to the instructions and configuration you provide.
DokuDocs is not responsible for verifying the identity of a person who presents a valid access token, nor for any dispute among Recipients, family members, heirs, or other interested parties regarding who was designated to receive access or what documents were released.
DokuDocs does not provide legal, financial, tax, medical, or other professional advice, and nothing on the Service should be construed as such. Any "Point of Contact" professional information displayed within your account (such as an attorney's or insurance agent's contact details) is provided by you or that professional for informational convenience only. DokuDocs does not vet, endorse, supervise, or take responsibility for the advice, services, or conduct of any third-party professional you designate, and is not a party to any relationship between you and that professional.
We strive to keep DokuDocs available and to deliver notifications (by email and, where applicable, postal mail) promptly. However, the Service depends on third-party infrastructure including, without limitation, internet service providers, email delivery networks, hosting providers, and postal carriers, any of which may experience outages, delays, filtering, or failures beyond our control.
DokuDocs does not guarantee that any notification, email, or document access will be delivered, will be delivered on time, or will not be intercepted, delayed, marked as spam, or otherwise fail to reach the intended Recipient. You acknowledge this risk and agree that DokuDocs is not liable for any consequence of delayed, failed, or non-delivered communications, except where such liability cannot be excluded under applicable law.
We use reasonable administrative, technical, and physical safeguards designed to protect documents stored on DokuDocs, including encrypted transmission, access logging, and token-based Recipient authentication. However, no system can be guaranteed to be 100% secure. Unauthorized access, hacking, data breaches, social engineering, credential theft, or other security incidents may occur despite these safeguards.
In the event of a security incident affecting your account or documents, we will take commercially reasonable steps to investigate, mitigate, and notify affected Customers as required by applicable law. To the maximum extent permitted by law, DokuDocs is not liable for losses, damages, or harm resulting from unauthorized access to, disclosure of, alteration of, or loss of documents or data, except where such liability cannot be excluded under applicable law or to the extent caused by our gross negligence or willful misconduct.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DOKUDOCS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY STATUS DETECTION, NOTIFICATION, OR DOCUMENT RELEASE WILL OCCUR ACCURATELY OR AT ALL. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DOKUDOCS, ONLINE SERVICES INTERNET DEVELOPMENT & MARKETING, OR THEIR OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOKUDOCS' TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE TOTAL FEES YOU PAID TO DOKUDOCS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES EVEN IF DOKUDOCS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless DokuDocs, Online Services Internet Development & Marketing, and their officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) the content of any document you upload; (d) any inaccurate or outdated Recipient information you provided; or (e) any dispute between you and a Recipient, heir, or other third party regarding the documents stored or released through the Service.
Subscription fees are billed in advance on an annual basis according to the plan you select at registration. Fees are non-refundable except where required by law. You may cancel your subscription at any time through your Account Settings; cancellation will take effect at the end of your current billing period, and your documents will remain accessible until that date. We reserve the right to change our pricing with at least 30 days' notice prior to your next renewal.
We may suspend or terminate your account if you violate these Terms, engage in fraudulent or abusive conduct, or if required by law. Upon termination, your right to use the Service ends immediately; however, we will make commercially reasonable efforts to provide you a reasonable opportunity to export your documents before deletion, except where immediate termination is necessary for security or legal reasons.
The DokuDocs name, logo, website, and underlying software are the property of Online Services Internet Development & Marketing and are protected by applicable intellectual property laws. You retain all ownership rights in the documents you upload; you grant DokuDocs a limited license to store, encrypt, transmit, and display those documents solely as necessary to provide the Service to you and your designated Recipients.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
You and DokuDocs agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved through binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court for Disputes within that court's jurisdiction.
The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, and will take place in, or be conducted by remote means consistent with AAA rules for a Customer located in, the State of Florida. The arbitrator's decision will be final and binding, subject to limited judicial review under applicable law.
Class Action Waiver: You and DokuDocs agree that any Dispute will be resolved on an individual basis only, and not as part of any class, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
If any part of this arbitration provision is found unenforceable, the remainder will remain in full force and effect, except that if the Class Action Waiver is found unenforceable as to a particular claim or request for relief, that claim or request must proceed in court, and all other claims remain subject to arbitration.
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles, except to the extent preempted by the Federal Arbitration Act. For any matter not subject to arbitration under Section 15, the state and federal courts located in Florida will have exclusive jurisdiction, and you consent to personal jurisdiction in those courts.
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice within the Service prior to the change taking effect. Your continued use of DokuDocs after the effective date of any revised Terms constitutes your acceptance of those changes.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and Limitation of Liability page, constitute the entire agreement between you and DokuDocs regarding the Service.
